Business Ethics


Business ethics play a key role in the proper governance of a company/organization. Simply defined, business ethics is the code of conduct that an organization adopts and implements throughout its operations.

According to the National Association of Corporate Directors, “Governance structures and practices should be designed to promote an appropriate corporate culture of integrity, ethics, and corporate social responsibility.”

The UNCTAD guidance suggests that organizations include the following in the disclosure of their ethics management structures:

  • Existence of senior ethics officer and his or her responsibilities
  • Existence of an ethics committee and its relation to the board
  • Policies for breaches of the ethics code
  • Reporting mechanisms for such breaches
  • Whistleblower protection mechanisms
  • Policies on dissemination and promotion of the ethics code among employees and management
